1. Introduction & Acceptance

Welcome to this website (the "Site"), operated by Thought Xchange Network ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Site, including any content, features, services, and functionality offered on or through the Site.

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site.

2. Our Services

Thought Xchange Network organizes and produces professional virtual conferences for the energy transition sector. Through this Site, we provide:

• Information about our conferences and events, including our conference events;
• Event registration and ticketing services;
• Payment processing via Stripe, a PCI-compliant third-party payment processor;
• Speaker and sponsorship opportunity information;
• News, insights, and industry-related content.

3. Eligibility & Authority

To use the Site and register for our events, you must be at least 18 years of age. By using the Site, you represent and warrant that you meet this age requirement.

If you are registering on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" shall refer to both you individually and the entity you represent.

4. Ticketing, Payments & Refund Policy

4.1 Payment Processing

All payments for event registrations are processed securely through Stripe, a PCI DSS Level 1 compliant payment processor. Thought Xchange Network does not store your credit card or debit card details. By completing a transaction, you agree to Stripe's terms of service.

4.2 Refund Policy

Our refund policy is structured as follows:

• 12 or more weeks before the event date: Full refund (100%) of the registration fee.
• 8 to 12 weeks before the event date: 50% refund of the registration fee.
• Less than 8 weeks before the event date: No refund will be issued.

All refund requests must be submitted in writing to contact@thoughtxn.com.

4.3 Registration Transfers

One (1) transfer per registration is permitted. You may transfer your registration to another individual from the same organization by notifying us at contact@thoughtxn.com at least two (2) weeks before the event date. Transfers are subject to our approval.

4.4 Organizer Cancellation

In the unlikely event that Thought Xchange Network cancels the event, all registered delegates will receive a full refund (100%) of their registration fee. We will not be liable for any other costs or expenses incurred in connection with a cancelled event, including but not limited to travel, accommodation, or incidental expenses.

5. Force Majeure

Thought Xchange Network shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, government actions or regulations, labor disputes, power failures, internet or telecommunications failures, cyberattacks, or other circumstances beyond our reasonable control.

6. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, audio, video, software, data compilations, page layouts, underlying code, and the overall design and arrangement of the Site, is the property of Thought Xchange Network or its licensors and is protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Site without the prior written consent of Thought Xchange Network, except as expressly permitted by these Terms.

7. Acceptable Use

You agree not to use the Site in any manner that:

• Violates any applicable federal, state, local, or international law or regulation;
• Infringes upon or violates the intellectual property rights or privacy rights of any third party;
• Interferes with, disrupts, or places an undue burden on the Site or the networks or services connected to the Site;
• Introduces any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
• Attempts to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is hosted, or any server, computer, or database connected to the Site;
• Uses any automated system, including "robots," "spiders," "scrapers," or other automated means, to access the Site for any purpose without our express written permission.

8. Third-Party Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Thought Xchange Network. These include but are not limited to payment processors (Stripe), virtual event platforms, analytics services, and social media platforms.

We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Thought Xchange Network shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of or reliance on any such third-party content, goods, or services.

9. Disclaimers & Limitation of Liability

The Site and all content, materials, information, services, and products available through the Site are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.

To the fullest extent permitted by applicable law, Thought Xchange Network disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

In no event shall Thought Xchange Network, its directors, officers, employees, agents, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Site or any content therein.

10. Indemnification

You agree to indemnify, defend, and hold harmless Thought Xchange Network and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

11. Termination

We reserve the right to suspend or terminate your access to the Site at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Wyoming, and you hereby consent to the personal jurisdiction of such courts.

13. Updates to These Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them to the Site and apply to all access to and use of the Site thereafter. The "Last updated" date at the top of this page indicates when these Terms were last revised.

Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.
